Welcome to Sqirl. These Terms and Conditions ("Terms") govern your access to and use of the Sqirl application and services ("Service") operated by Sqirl ("we", "us", or "our").
By accessing or using our Service, you agree to be bound by these Terms. If you do not agree to these Terms, please do not use the Service.
Alpha Testing Notice
Sqirl is currently in alpha testing. By participating in the alpha program, you acknowledge and agree that:
- The Service is provided in an early development stage and may contain bugs, errors, and incomplete features
- Data loss may occur without warning due to system updates, bug fixes, or infrastructure changes
- Features may be added, modified, or removed at any time without notice
- The Service may experience downtime, interruptions, or performance issues
- We may reset or delete data during the alpha period as part of development and testing
- You should not rely on the Service for critical data storage without maintaining your own backups
We appreciate your participation in helping us improve Sqirl. Your feedback is valuable and helps shape the future of the product.
1. Description of Service
Sqirl is a personal organisation application that allows users to create and manage lists, track expenses, store loyalty card and gift card information, and share selected information with groups. The Service uses end-to-end encryption to protect your data.
2. Account Registration
To use the Service, you must:
- Create an account with a valid email address or phone number
- Be at least 16 years of age
- Provide accurate and complete information
- Maintain the security of your password and account credentials
You are responsible for all activities that occur under your account. You must notify us immediately of any unauthorised use of your account.
3. End-to-End Encryption
Your data is protected using end-to-end encryption. This means:
- Your encryption keys are derived from your password and stored securely
- We cannot access the contents of your encrypted data
- If you lose your password and have not set up a recovery key, your encrypted data cannot be recovered
- You are solely responsible for maintaining access to your account credentials and recovery key
4. Acceptable Use
You agree not to:
- Use the Service for any unlawful purpose or in violation of any applicable laws
- Attempt to gain unauthorised access to the Service or its related systems
- Interfere with or disrupt the Service or servers connected to the Service
- Upload or transmit malicious code, viruses, or harmful data
- Use the Service to store or transmit illegal content
- Impersonate any person or entity
- Share your account credentials with others
5. User Content
You retain ownership of all content you create, upload, or store using the Service ("User Content"). By using the Service, you grant us a limited licence to store and process your encrypted User Content solely for the purpose of providing the Service to you.
You are solely responsible for your User Content and represent that you have all necessary rights to store such content.
6. Sharing Features
The Service allows you to share certain information with other users through groups. When you share content:
- You control what information is shared and with whom
- Shared content may be visible to all members of the group you share with
- Other users may retain copies of shared content even if you later remove it
- You are responsible for ensuring you have the right to share any content
7. Service Availability
We strive to provide reliable access to the Service but do not guarantee uninterrupted availability. The Service may be temporarily unavailable due to:
- Scheduled or unscheduled maintenance
- System updates and improvements
- Technical issues or circumstances beyond our control
8. Limitation of Liability
To the maximum extent permitted by applicable law:
- The Service is provided "as is" and "as available" without warranties of any kind
- We disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement
- We shall not be liable for any indirect, incidental, special, consequential, or punitive damages
- We shall not be liable for any loss of data, profits, or business opportunities
- Our total liability shall not exceed the amount you paid us in the 12 months preceding the claim, or AUD $100, whichever is greater
Some jurisdictions do not allow the exclusion of certain warranties or limitations of liability. In such cases, the above limitations may not apply to you to the extent prohibited by law.
9. Indemnification
You agree to indemnify and hold harmless Sqirl, its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including legal fees) arising from your use of the Service, your User Content, or your violation of these Terms.
10. Modifications to Service and Terms
We reserve the right to:
- Modify, suspend, or discontinue any part of the Service at any time
- Update these Terms at any time by posting the revised version
We will notify you of material changes to these Terms via email or through the Service. Your continued use of the Service after changes become effective constitutes acceptance of the revised Terms.
11. Termination
You may terminate your account at any time by contacting us. We may suspend or terminate your account if:
- You violate these Terms
- Your account has been inactive for an extended period
- We are required to do so by law
- We discontinue the Service
Upon termination, your right to use the Service will immediately cease. We may delete your account data in accordance with our Privacy Policy.
12. Governing Law
These Terms are governed by and construed in accordance with the laws of New South Wales, Australia, without regard to its conflict of law provisions. You agree to submit to the exclusive jurisdiction of the courts of New South Wales, Australia, for the resolution of any disputes.
13. General Provisions
- Entire Agreement: These Terms, together with the Privacy Policy, constitute the entire agreement between you and Sqirl regarding the Service.
- Severability: If any provision of these Terms is found invalid or unenforceable, the remaining provisions will continue in full force and effect.
- Waiver: Our failure to enforce any right or provision of these Terms will not be considered a waiver of such right or provision.
- Assignment: You may not assign or transfer these Terms without our prior written consent. We may assign our rights and obligations under these Terms.
